Our client is seeking an experienced Company Secretary to provide governance leadership, legal advisory support, and secretariat management to Council, its Committees, executive structures, and senior management. Reporting functionally to the Chairperson of the Council and administratively to the Chief Executive Officer, this role is central to ensuring effective corporate governance, compliance, risk oversight, and stakeholder engagement.
The successful candidate will oversee board and committee administration, governance frameworks, legal advisory services, policy development, record management, stakeholder communication, and strategic secretariat operations. The role also provides leadership to the secretariat team while supporting organisational accountability, transparency, and sound decision-making.

What You’ll Do- Lead and manage the Company Secretariat function.
- Provide governance and legal advisory support to Council, Committees, and executive leadership.
- Coordinate Council and Committee meetings, agendas, packs, minutes, and resolutions.
- Ensure compliance with governance frameworks, legislation, and organisational policies.
- Manage stakeholder communication and reporting requirements.
- Oversee budget management and financial controls within the Secretariat function.
- Draft and review contracts, governance policies, and governance-related documentation.
- Drive risk management, compliance monitoring, and internal control improvements.
- Maintain governance records and decision-tracking systems.
- Lead and develop the Secretariat team.
- LLB Degree.
- Minimum 5 years’ experience in a Company Secretary role.
- At least 10 years’ experience within a legal operational environment.
- Minimum 5 years’ management-level experience.
- Strong governance, compliance, and advisory expertise.
- Experience working with boards, councils, or governance committees.
- Excellent legal drafting, communication, and stakeholder management skills.
- Knowledge of public-sector governance frameworks and regulatory compliance.
- CGISA/CGIS Board Membership will be advantageous.
- Effective governance support delivered across Council and Committee structures.
- Strong compliance with legislative and governance requirements.
- Accurate and timely board reporting and decision implementation tracking.
- Well-managed governance risks and controls.
